ACCEPTANCE OF TERMS By accessing and using the CDL-Check platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use this Service. CDL-X LLC ("Company", "we", "us", "our") reserves the right to modify these Terms at any time. Your continued use of the Service constitutes your acceptance of any modifications. 2. DEFINITIONS "Service" refers to the CDL-Check platform, website, mobile application, and all related services provided by CDL-X LLC. "User" refers to any individual or entity accessing or using the Service. "Content" refers to all information, data, text, images, ratings, reviews, and feedback posted on the Service. "Driver Information" refers to professional profiles, ratings, reviews, employment history, and related data about commercial drivers. "Carrier" refers to a transportation company or authorized representative accessing the Service to view driver information and submit reviews. 3. USE LICENSE AND PERMITTED USE CDL-X LLC grants you a limited, non-exclusive, non-transferable license to access and use the Service for lawful purposes only. You may not: - Reproduce, distribute, or transmit any content without prior written permission - Modify, adapt, translate, or create derivative works from the Service - Reverse engineer, disassemble, or decompile any portion of the Service - Use automated systems to access the Service without authorization - Interfere with or disrupt the integrity or performance of the Service - Attempt to gain unauthorized access to the Service or its systems 4. USER REGISTRATION AND ACCOUNTS To access certain features of the Service, you must register an account and provide accurate, complete information. You are responsible for: - Maintaining the confidentiality of your account credentials - All activities that occur under your account - Notifying us immediately of any unauthorized access You agree not to create multiple accounts or impersonate any person or entity. USER RESPONSIBILITIES AND CONDUCT You agree to use the Service in compliance with all applicable laws and these Terms. You will not: - Post defamatory, harassing, threatening, or abusive content - Violate anyone's intellectual property, privacy, or other rights - Post spam, unsolicited advertising, or promotional content - Engage in illegal activities or encourage illegal conduct - Attempt to interfere with the Service's operation or security 6. USER-GENERATED CONTENT You retain ownership of content you post on the Service ("Your Content"). However, you grant CDL-X LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute Your Content in connection with operating the Service. You represent and warrant that: - You own or have the right to Your Content - Your Content does not infringe any third-party rights - Your Content is accurate and truthful CDL-X LLC is not responsible for reviewing all User Content and does not guarantee its accuracy or legality. 7. INTELLECTUAL PROPERTY RIGHTS All content, features, and functionality of the Service (excluding User Content) are the exclusive property of CDL-X LLC, its licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws. You may not use any CDL-X LLC trademarks, logos, or proprietary information without express written permission. 8. THIRD-PARTY CONTENT AND EXTERNAL LINKS The Service may contain links to third-party websites and content. CDL-X LLC does not endorse, control, or assume responsibility for these external resources. Your use of third-party sites is subject to their terms and policies. 9. DISCLAIMERS OF WARRANTIES THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CDL-X LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CDL-X LLC DOES NOT WARRANT THAT: - The Service will be uninterrupted or error-free - Any defects will be corrected - The Service or servers are free from viruses or harmful components - Driver information or ratings are completely accurate or comprehensive 10. LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW, CDL-X LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST REVENUE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL CDL-X LLC'S TOTAL LIABILITY EXCEED $100. 11. INDEMNIFICATION You agree to indemnify, defend, and hold harmless CDL-X LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from: - Your violation of these Terms - Your use of the Service - Your User Content - Your violation of any law or third-party rights 12. CONFIDENTIALITY You agree to maintain the confidentiality of any non-public information obtained through the Service. You may not disclose or use such information for competitive purposes or without authorization. 13. PRIVACY AND DATA PROTECTION Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to our collection and use of personal information as described in our Privacy Policy. 14. PROHIBITED CONDUCT AND DEFAMATION You will not post content that: - Makes false or defamatory statements about any person or entity - Constitutes harassment, bullying, or intimidation - Invades anyone's privacy - Violates any law or regulation CDL-X LLC does not monitor all User Content and cannot guarantee its accuracy or legality. Users who post false or defamatory content assume full legal responsibility for such content. 15. VERIFICATION AND ACCURACY OF INFORMATION CDL-X LLC attempts to provide accurate driver information, but we do not warrant the completeness or accuracy of all data. Driver ratings, reviews, and employment history should be independently verified. CDL-X LLC is not liable for any reliance on driver information or for hiring or employment decisions based on Service data. 16. PAYMENT TERMS AND BILLING If you purchase a subscription or premium features: - You authorize us to charge your payment method for the stated fees - Billing occurs in accordance with your subscription plan - Refunds are subject to our refund policy - CDL-X LLC may change pricing with 30 days' notice 17. FREE TRIAL AND PROMOTIONAL OFFERS Any free trial or promotional offer is subject to these Terms. Free features may be limited in functionality or duration. CDL-X LLC reserves the right to modify or discontinue free offerings at any time. 18. MODIFICATIONS TO SERVICE AND TERMS CDL-X LLC may modify, suspend, or discontinue the Service or any feature at any time with or without notice. We may also modify these Terms, and modifications are effective upon posting. Your continued use constitutes acceptance of modifications. 19. TERMINATION OF ACCOUNTS AND SERVICE CDL-X LLC may suspend or terminate your account and access to the Service at any time, with or without cause, at our sole discretion. Upon termination, your right to use the Service immediately ceases. We may retain your data for backup, archival, or legal compliance purposes. 20. SEVERABILITY If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid. 21. ENTIRE AGREEMENT These Terms constitute the entire agreement between you and CDL-X LLC regarding your use of the Service and supersede all prior agreements, understandings, and negotiations. 22. WAIVER OF CLASS ACTION You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, class arbitration, or other representative action. You waive your right to participate in class actions against CDL-X LLC. 23. GOVERNING LAW AND JURISDICTION These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. You consent to the exclusive jurisdiction and venue of the federal and state courts located in Delaware. 24. DISPUTE RESOLUTION AND ARBITRATION Before pursuing legal action, you agree to attempt to resolve disputes through good faith negotiation with CDL-X LLC. If negotiation fails, disputes shall be resolved through final and binding arbitration under the rules of the American Arbitration Association, conducted in Wilmington, Delaware. Arbitration proceedings shall be conducted on an individual basis, not as a class action. 25.
